Welcome to Mdit! These Terms of Service (“Terms”) govern your access to and use of the Mdit desktop and web applications, websites, APIs, and related services (collectively, the “Service”). By creating an account, downloading the app, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

If you do not agree to all of these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in‑app notice at least 30 days before the new Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

3. Eligibility & Account Registration

You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use Mdit. You agree to provide true, accurate, and current information when creating an account and to keep it up to date. You are responsible for safeguarding your password and all activity under your account.

4. Description of the Service

Mdit is an AI‑assisted markdown editor that helps you create, edit, and manage documents on your own device. Key features include:

  • Workspace folders. You can designate any local folder as a workspace. Mdit indexes markdown, text, PDF, and other supported files in that folder so you can reference them directly in chat (e.g., “summarize docs/README.md”) without uploading the files to our servers.
  • Local storage. Your documents live on disk by default; nothing is pushed to the cloud unless you explicitly enable sync features.
  • LLM‑powered tools. AI writing, summarization, translation, and refactor commands integrated into both the editor and chat interface.
  • Diff visualization. Clear side‑by‑side or inline views of AI‑generated changes.
  • Optional paid plans. Higher AI usage quotas, collaboration add‑ons, and priority support.

We may modify or discontinue features at any time. We will use reasonable efforts to notify you of any material changes.

5. Plans, Payments & Trials

Plans, Payments & Trials

Certain features are free. Paid plans (e.g., “Pro” or “Teams”) provide additional storage, higher AI quotas, or other benefits. Prices, billing intervals, and plan details are described on our pricing page and may change with 30 days’ notice. Unless otherwise stated, fees are non‑refundable.

  • Free Plan. Limited AI credits.
  • Paid Plans. Billed in advance on a subscription basis.

Taxes, currency conversion, and payment‑processor fees are your responsibility.

6. Your Content

“User Content” means any text, files, images, code, chat transcripts, or other materials you upload, type, or create in Mdit.

  • Ownership. You retain all rights in your User Content.
  • License to Mdit. You grant us a worldwide, non‑exclusive, royalty‑free license to store, transmit, process, and display your User Content solely to operate and improve the Service.
  • Document & File Caching (48 h). Documents, attachments, and other file‑based content are cached on our servers for no longer than 48 hours to facilitate real‑time LLM processing. After this window, they are automatically and irreversibly deleted and are not included in any long‑term backups.
  • Chat Message Storage. Chat conversations (including your prompts and the AI’s replies) are stored on our encrypted cloud infrastructure so you can sync history across devices and receive continuity features. We retain these chat logs until you delete them in‑app or close your account. They are never used for advertising or sold to third parties.
  • Responsibility. You are solely responsible for your User Content and for ensuring that it does not violate any laws or third‑party rights.

7. AI‑Generated Content

Mdit uses third‑party LLMs (e.g., OpenAI, Anthropic, Google) to generate content and suggestions (“AI Output”).

  • No Guarantees. AI Output may be inaccurate, offensive, or infringe third‑party rights. You should review AI Output before relying on it.
  • License. Subject to these Terms, you own any AI Output generated through your prompts to the extent permitted by applicable law.
  • Feedback. We may use anonymized prompts and AI Output to improve the Service and underlying models.

8. Prohibited Conduct

You agree not to:

  1. Use the Service for unlawful, harmful, or fraudulent activities.
  2. Upload or generate content that is defamatory, harassing, or infringes intellectual‑property rights.
  3. Attempt to reverse engineer, decompile, or hack the Service or its underlying models.
  4. Interfere with or disrupt any servers or networks connected to the Service.
  5. Bypass or breach security or authentication measures.

9. Intellectual Property

The Service, including software, design, and trademarks, is owned by Mdit or its licensors and is protected by intellectual‑property laws. Except as expressly permitted, you may not copy, modify, or create derivative works of the Service.

10. Feedback

If you send ideas or suggestions (“Feedback”), you grant us a perpetual, irrevocable, royalty‑free license to use that Feedback for any purpose without obligation or compensation.

11. Privacy

Our Privacy Policy explains how we collect, use, and share your information. By using the Service, you consent to our data practices as described therein.

12. Third‑Party Services & Open Source

Mdit integrates with third‑party services and open‑source libraries. Your use of third‑party services is governed by their terms, not ours. We disclaim any liability arising from such services.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

15. Indemnification

You agree to defend, indemnify, and hold harmless Mdit and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access with or without notice if you violate these Terms or if required by law. Sections 6‑16 survive termination.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of Republic of Korea without regard to conflicts of law.

18. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. You may not assign these Terms without our prior written consent. Our failure to enforce any right is not a waiver.
